    Franchisor's Responsibilities
    The Franchisor will carry out the following during the term of this Agreement:

      Provide initial training to the Franchisee, so that the Franchisee can successfully operate the Franchise.

      Provide Franchise login details & general advice to franchisee on how to operate the franchise

     Regularly monitor and audit the Franchise to ensure that quality standards are met and that service sale targets are achieved by the Franchisee.

     General advice to franchisee on how to set up the franchise.

      provide the franchisee with ongoing support, including solve customer technical issues and portal upgrading options training portion.

    Franchisee's Obligations
    The Franchisee shall

     Operate the Business in accordance with the Franchisor guidance

     Ensure that staff is well dressed, clean and polite

     Franchisee should not appoint any person as employ and manager who has not completed the Franchisor's training course and been approved by the Franchisor

     Franchisee requires franchisor's approval for do campaigns with respect to advertising

     Use the trademarks, logos and name on the entire document in the same format given by www.MyTag.in Portal

     Records of clients will be maintained by both of us Franchisee and franchisor

     The Franchisee will maximize efforts to develop the franchise and maintain the image, identity and reputation of the entire franchising system

     The obligation to provide excellent customer service

     Franchisee has to arrange basic requirement which includes 1 latest configuration computer set with printer , webcam with Headphone and Broadband internet connection.

    Approval of Advertising
    Franchisor do all advertising or other marketing or promotional programs published by any method, including print, broadcast and electronic media, regarding the www.MyTag.in Portal, including, without limitation, "Yellow Pages" advertising, newspaper ads, flyers, brochures, coupons, direct mail pieces, specialty and novelty items, radio, television, Internet and World Wide Web advertising.

    The Franchisee will submit to the Franchisor an accounting of the amounts spent on advertising within 30 days following the end of each calendar quarter. The Franchisee shall obtain the Franchisor's prior written approval of advertising or other marketing or promotional programs .

    Franchisee Termination
    The Franchisor may terminate this Agreement if the Franchisee:

     Fails to commence business within one months of execution of the Agreement

     Is in breach of [any of] the terms of the Agreement

     Persistently defaults in payment of any amounts due to the Franchisor

     Is found to raise continuous customer complaint of services or misleading information in or supporting the franchise application

     Goes into liquidation/bankruptcy or is insolvent

    Franchisee Duration
    This Agreement shall remain in force for the period of 3 years from the date of signature by the parties. Both parties will have options to renew or cancel this Franchise Agreement at said date.

    Jurisdiction
    Any dispute, controversy or claims arising out of or relating to this Agreement or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the [Indian] Arbitration and Conciliation Act, 1996.

    This Agreement is executed at Rajapalayam City and it is hereby agreed that Court situated in Rajapalayam city alone will have exclusive jurisdiction over any matter arising under this Agreement to the execution of Courts situated in any part of the country.
